1.1 Agreement to Terms By using Material Souq, you agree to these Terms, which apply to both buyers and suppliers. If you do not agree, please refrain from using the platform. 1.2 Amendments Material Souq reserves the right to modify these Terms at any time. Updates will be effective immediately upon posting. Continued use of the platform after updates constitutes acceptance of the revised Terms.

2. Account Creation and User Responsibilities

2.1 Eligibility Users must be at least 18 years old and have the authority to enter a binding agreement on behalf of their business. 2.2 Account Setup To create an account, users must provide accurate and complete information. Suppliers may choose a subscription plan during setup and are responsible for maintaining accurate profiles, including product information and contact details. 2.3 Account Security Users are responsible for maintaining the security of their account credentials. Material Souq is not liable for any unauthorized access due to the loss or misuse of credentials.

3. Platform Services

Material Souq offers an inquiry-based, lead generation service that facilitates direct connections between buyers and suppliers without managing transactions, payments, or logistics. 3.1 Lead Generation Services

• For Buyers: Material Souq allows buyers to submit inquiries for building materials and chemicals, connecting them with relevant suppliers who respond directly.
• For Suppliers: Suppliers receive notifications of inquiries and have the opportunity to respond to buyers with product details and custom quotes.

3.2 Value-Added Services Material Souq offers optional services, including Procurement As A Service, Manufacturing As A Service, and Supply Chain Optimization, available to users through additional arrangements.

4. Prohibited Activities

Users agree not to:

1. Post false, misleading, or inappropriate content.
2. Misuse the lead generation features, including spamming buyers or submitting irrelevant inquiries.
3. Interfere with the platform’s functionality, security, or other users’ experience.
4. Use automated tools, scraping, or similar methods to extract data from Material Souq.

Material Souq reserves the right to suspend or terminate accounts violating these prohibitions.

5. Payment Terms

5.1 Subscription Fees Suppliers may choose a subscription plan, billed on a monthly or annual basis. Payment is due upon subscription, and non-payment may result in suspension of services. 5.2 Pay-Per-Lead Options Suppliers have the option to purchase additional leads on a pay-per-lead basis. The cost per lead will be clearly displayed prior to purchase, and payment is non-refundable. 5.3 Payment Processing Payments are handled by third-party payment processors. Material Souq does not store payment information and is not responsible for any errors or issues related to payment processing. 5.4 Refund Policy All payments for subscriptions and leads are final and non-refundable, except in cases where Material Souq determines a refund is warranted due to an error on its part.

6. Data and AI-Driven Services

6.1 Data Accuracy Material Souq strives to provide accurate and up-to-date information but does not guarantee the completeness or reliability of content, inquiries, or responses. Users are responsible for verifying any information before entering into business agreements. 6.2 AI Usage Material Souq uses AI tools for profile optimization, lead targeting, and content recommendations. 7. User Responsibilities

7.1 Buyer Responsibilities

• Buyers agree to provide complete and accurate inquiry details and communicate promptly with suppliers.
• Buyers are responsible for assessing supplier qualifications, negotiating terms, and verifying product details independently of Material Souq.

7.2 Supplier Responsibilities

• Suppliers agree to maintain an accurate and up-to-date profile, including product details and availability.
• Suppliers are responsible for responding to inquiries promptly, providing accurate quotes, and engaging professionally with buyers.

7.3 Compliance with Laws Users are responsible for complying with all applicable laws and regulations in their respective jurisdictions, including but not limited to trade regulations, import/export laws, and industry standards.

8. Platform Liability

8.1 Limitation of Liability Material Souq is an intermediary platform connecting buyers and suppliers. We are not involved in transactions, logistics, or payments between parties, and therefore disclaim liability for any direct or indirect damages arising from interactions or agreements made through the platform. 8.2 Disclaimer of Warranties Material Souq provides its platform on an “as is” and “as available” basis. Material Souq disclaims all warranties, express or implied, regarding the platform’s accuracy, reliability, or availability. Users assume full responsibility for any reliance on information or services accessed through Material Souq.

9. Intellectual Property

9.1 Material Souq’s Content All content, logos, and trademarks on Material Souq are the property of Material Souq and protected under intellectual property laws. Unauthorized use of Material Souq’s intellectual property is prohibited. 9.2 User-Submitted Content By posting content on Material Souq, users grant Material Souq a non-exclusive, royalty-free license to use, reproduce, and display this content for platform purposes, subject to user privacy settings.

10. Termination and Suspension
